Introduction

Welcome to ToasterSync. These Terms of Service ("Terms") govern your access to and use of the ToasterSync website, application, and services (collectively, the "Service") operated by ToasterSync ("we," "us," or "our").

Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.

1. Description of Service

ToasterSync is a software-as-a-service (SaaS) platform that enables users to synchronize product information from Toast POS and Toast Retail systems to Shopify e-commerce stores.

1.1 Core Functionality

The Service provides:

  • Connection to your Toast and Shopify accounts via secure API credentials
  • Synchronization of product data including names, descriptions, prices, SKUs, images, and variants from Toast to Shopify
  • Mapping of Toast menu categories to Shopify collections
  • Manual and automatic synchronization options (depending on your subscription plan)
  • Dashboard and logging for monitoring sync activity

1.2 What the Service Does Not Do

The Service does not:

  • Sync inventory stock levels (this is handled by Toast's native Shopify integration after products are linked)
  • Sync customer data, sales data, or financial information
  • Sync data from Shopify to Toast (synchronization is one-directional: Toast → Shopify)
  • Create or manage your Toast or Shopify accounts
  • Provide point-of-sale or e-commerce functionality

1.3 Service Dependencies

The Service relies on third-party platforms (Toast and Shopify) to function. Features, availability, and behavior may be affected by changes to these third-party services. We are not responsible for the actions, policies, or availability of third-party services.

2. Eligibility

2.1 Age Requirement

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age.

2.2 Business Use

The Service is intended for business use by operators of Toast POS or Toast Retail systems who also operate Shopify stores. You represent that you have the legal authority to access and manage the Toast and Shopify accounts you connect to the Service.

2.3 Geographic Availability

The Service is currently available to users in the United States. We may expand availability to other regions in the future. You are responsible for compliance with all local laws applicable to your use of the Service.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You agree to update your account information promptly if it changes.

3.2 Account Credentials

You are responsible for:

  • Maintaining the confidentiality of your account login credentials
  • All activities that occur under your account
  • Notifying us immediately at [email protected] if you suspect unauthorized access to your account

3.3 Integration Credentials

When you connect Toast and Shopify accounts:

  • You are responsible for ensuring you have proper authorization to access those accounts
  • You must provide accurate API credentials
  • You should revoke ToasterSync's access if you no longer wish to use the Service

3.4 One Account Per User

Each account is for use by a single individual or entity. You may not share your account credentials with others or allow multiple people to use the same account unless your subscription plan explicitly permits it.

3.5 Account Security

We implement security measures to protect your account, but we cannot guarantee that unauthorized third parties will never be able to defeat those measures. You acknowledge that you provide your information at your own risk.

4. Subscription Plans and Fees

4.1 Available Plans

We offer the following subscription plans:

Starter Plan — $19/month

  • Up to 100 products synced
  • Manual and automatic synchronization
  • Category mapping

Pro Plan — $79/month

  • Unlimited products synced
  • Manual and automatic synchronization
  • Category mapping
  • Variant support
  • Email notifications
  • Priority support

4.2 Plan Features

Specific features available for each plan are described on our pricing page at toastersync.com/pricing. We reserve the right to modify plan features with reasonable notice to subscribers.

4.3 Product Limits

Product limits refer to the number of unique products synced from Toast to Shopify. Product variants are counted as part of their parent product, not as separate products.

4.4 Price Changes

We may change subscription prices at any time. Price changes will be communicated at least 30 days in advance and will apply to your next billing cycle after the effective date of the change. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Billing and Payment

5.1 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. By subscribing to a paid plan, you agree to Stripe's terms of service and privacy policy.

5.2 Billing Cycle

Paid subscriptions are billed monthly on a recurring basis. Your billing cycle begins on the date you subscribe to a paid plan and renews on the same date each month.

5.3 Payment Methods

We accept major credit cards (Visa, Mastercard, American Express, Discover) through Stripe. You authorize us to charge your payment method for all fees incurred.

5.4 Failed Payments

If a payment fails:

  • We will attempt to charge your payment method again
  • We may send you email notifications about the failed payment
  • If payment is not received within 7 days, we may suspend or downgrade your account
  • You remain responsible for any unpaid fees

5.5 Taxes

Fees are exclusive of taxes unless stated otherwise. You are responsible for all applicable taxes, and we will charge taxes when required by law.

5.6 No Refunds

All fees are non-refundable except as required by law or as explicitly stated in these Terms. We do not provide refunds for partial months, unused features, or downgrading to a lower-tier plan.

5.7 Cancellation

You may cancel your subscription at any time by contacting [email protected]. Cancellation takes effect at the end of your current billing cycle. You will retain access to paid features until the end of the billing period for which you have paid.

6. Free Plan and Plan Limits

6.1 Free Plan

The Free plan allows you to use the Service with limited functionality at no cost. The Free plan is subject to product limits and feature restrictions as described in Section 4.1.

6.2 Plan Upgrades

You may upgrade your subscription plan at any time. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of your billing cycle.

6.3 Plan Downgrades

Downgrading to a lower-tier plan is subject to the product limits of the new plan. If your current number of synced products exceeds the limit of the plan you wish to downgrade to, you will not be able to downgrade.

6.4 Exceeding Plan Limits

If you exceed your plan's product limit:

  • You will be notified and prompted to upgrade
  • New product syncs may be blocked until you upgrade or remove products
  • Existing synced products will continue to function

7. Acceptable Use

7.1 Permitted Use

You may use the Service only for its intended purpose: synchronizing product data between Toast and Shopify for your legitimate business operations.

7.2 Prohibited Conduct

You agree not to:

General Prohibitions

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Violate or infringe the rights of others, including privacy, intellectual property, or contractual rights
  • Use the Service to transmit malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to reverse engineer, decompile, or disassemble any aspect of the Service

API and System Abuse

  • Exceed reasonable API usage limits or make excessive requests that burden our systems
  • Use automated tools to access the Service in ways not authorized by these Terms
  • Scrape, crawl, or otherwise extract data from the Service except through provided interfaces
  • Resell, redistribute, or provide access to the Service to third parties without authorization

Data and Security

  • Access or attempt to access data belonging to other users
  • Upload or transmit content that you do not have the right to share
  • Circumvent or attempt to circumvent any security measures
  • Use the Service to store or transmit sensitive personal information not required for its intended purpose

7.3 Enforcement

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

8. Third-Party Services and Integrations

8.1 Toast and Shopify Integration

The Service integrates with Toast POS, Toast Retail, and Shopify. Your use of these third-party services is governed by their respective terms of service and privacy policies:

You are responsible for complying with all terms and conditions applicable to your use of Toast and Shopify. We are not responsible for your compliance with third-party terms or for any consequences of non-compliance.

8.3 API Changes and Availability

Third-party services may change their APIs, features, or availability at any time. Such changes may affect the functionality of our Service. We will make reasonable efforts to adapt to such changes but cannot guarantee uninterrupted compatibility.

8.4 Third-Party Fees

You are solely responsible for any fees charged by Toast, Shopify, or other third-party services you use in connection with our Service.

8.5 No Endorsement

Our integration with third-party services does not imply endorsement by or affiliation with those services. Toast and Shopify are trademarks of their respective owners.

9. Intellectual Property Rights

9.1 Our Intellectual Property

The Service, including all software, code, design, text, graphics, logos, icons, images, and other content ("ToasterSync Materials"), is owned by ToasterSync or its licensors and is protected by copyright, trademark, and other intellectual property laws.

9.2 Limited License to You

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription term.

9.3 Restrictions

You may not:

  • Copy, modify, or distribute ToasterSync Materials except as expressly permitted
  • Use our trademarks, logos, or branding without prior written consent
  • Remove or alter any copyright, trademark, or other proprietary notices
  • Create derivative works based on the Service
  • Sublicense, sell, or transfer your rights to use the Service

9.4 Feedback

If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that Feedback into the Service without compensation or attribution to you.

10. Your Data and Content

10.1 Your Data

You retain ownership of all data you provide to the Service, including your account information and data accessed from your Toast and Shopify accounts ("Your Data").

10.2 License to Your Data

You grant us a limited license to access, store, process, and transmit Your Data solely as necessary to provide the Service, comply with legal obligations, and enforce these Terms. This license terminates when you delete Your Data or close your account.

10.3 Data Accuracy

You are responsible for the accuracy and legality of Your Data. We do not verify the accuracy of data synced between Toast and Shopify and are not responsible for errors in your product information.

10.4 Data Backup

While we implement reasonable backup procedures, you are responsible for maintaining your own backups of Your Data. We are not liable for any loss of Your Data.

10.5 Data Processing

Our collection and use of personal data is governed by our Privacy Policy, available at toastersync.com/privacy, which is incorporated into these Terms by reference.

11. Confidentiality and Security

11.1 Confidential Information

We will treat your integration credentials (Toast API credentials, Shopify access tokens) as confidential information. We will not disclose these credentials to third parties except as necessary to provide the Service or as required by law.

11.2 Security Measures

We implement industry-standard security measures to protect Your Data, including:

  • Encryption of data in transit (TLS/HTTPS)
  • Encryption of sensitive credentials at rest
  • Access controls and authentication
  • Regular security monitoring

11.3 Security Incidents

If we become aware of a security incident that affects Your Data, we will notify you in accordance with applicable law and our Privacy Policy.

11.4 Your Security Responsibilities

You are responsible for:

  • Keeping your account credentials confidential
  • Using strong, unique passwords
  • Revoking access to compromised credentials
  • Reporting suspected security issues to us promptly

12. Service Availability and Modifications

12.1 Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be unavailable due to:

  • Scheduled maintenance (we will provide reasonable advance notice when possible)
  • Unscheduled maintenance for urgent issues
  • Factors outside our control (internet outages, third-party service issues, force majeure)

12.2 Modifications to the Service

We may modify, update, or discontinue features of the Service at any time. For material changes that negatively affect your use of the Service:

  • We will provide at least 30 days' notice when practicable
  • You may cancel your subscription if you do not agree to the changes

12.3 Discontinuation

If we discontinue the Service entirely:

  • We will provide at least 90 days' notice to active subscribers
  • We will provide a prorated refund for prepaid fees covering the period after discontinuation
  • We will provide reasonable assistance in exporting Your Data

13. Disclaimer of Warranties

13.1 "As Is" Basis

The service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

13.2 No Guarantee

We do not warrant that:

  • The service will meet your specific requirements
  • The service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the service will be accurate or reliable
  • Any errors in the service will be corrected

13.3 Third-Party Services

We disclaim all liability for the actions, products, or services of third parties, including toast and shopify. Your use of third-party services is at your own risk.

13.4 Beta Features

Any features labeled as "beta," "preview," or "experimental" are provided without any warranty. These features may be modified or discontinued without notice.

14. Limitation of Liability

14.1 Exclusion of Certain Damages

To the maximum extent permitted by applicable law, in no event shall ToasterSync, its affiliates, directors, employees, agents, or licensors be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, business opportunities, or goodwill
  • Cost of substitute services
  • Damages arising from your use of or inability to use the service

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

14.2 Cap on Liability

To the maximum extent permitted by applicable law, our total cumulative liability for all claims arising from or relating to these terms or the service shall not exceed the greater of:

  • The amount you paid to us in the twelve (12) months preceding the claim, or
  • One hundred dollars ($100)

14.3 Essential Purpose

The limitations in this section apply even if any limited remedy fails of its essential purpose.

14.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights.

15. Indemnification

15.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless ToasterSync, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any rights of a third party
  • Any dispute between you and a third party relating to the Service
  • Your Data or content you submit to the Service

15.2 Procedure

We will promptly notify you of any claim subject to indemnification and provide reasonable cooperation in the defense. You may not settle any claim without our prior written consent if the settlement would impose obligations on us or admit fault on our behalf.

16. Term and Termination

16.1 Term

These Terms are effective when you first access or use the Service and continue until terminated.

16.2 Termination by You

You may terminate your account at any time by:

Termination takes effect at the end of your current billing cycle. You remain responsible for all fees incurred before termination.

16.3 Termination by Us

We may suspend or terminate your account immediately and without notice if:

  • You breach any provision of these Terms
  • You fail to pay fees when due
  • Your use of the Service creates legal liability or risk for us
  • Your use of the Service may harm other users or third parties
  • We are required to do so by law
  • We discontinue the Service

16.4 Effect of Termination

Upon termination:

  • Your right to access and use the Service ends immediately
  • We may delete Your Data in accordance with our data retention policies
  • Any fees owed become immediately due and payable
  • Provisions that by their nature should survive termination will survive (including Sections 9, 13, 14, 15, 17, and 18)

16.5 Data Export

We recommend exporting any data you need before terminating your account. Upon request made within 30 days of termination, we will make reasonable efforts to provide you with an export of Your Data.

17. Dispute Resolution

17.1 Informal Resolution

Before filing any formal legal action, you agree to contact us at [email protected] and attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiation for at least 30 days.

17.2 Governing Law

These Terms and any dispute arising from or relating to them or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

17.3 Jurisdiction

You agree that any legal action or proceeding arising from or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

17.4 Waiver of Jury Trial

To the extent permitted by law, you and ToasterSync waive any right to a jury trial in any legal proceeding arising from or relating to these terms or the service.

17.5 Class Action Waiver

To the extent permitted by law, all claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

17.6 Time Limitation

Any claim or cause of action arising from or relating to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or it will be permanently barred.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ToasterSync regarding the Service and supersede all prior agreements and understandings.

18.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of ToasterSync.

18.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

18.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.

18.6 Force Majeure

We will not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, labor disputes, government actions, internet or telecommunications failures, or third-party service outages.

18.7 Notices

We may provide notices to you via email to the address associated with your account or by posting notices on the Service. You are responsible for keeping your email address current. Notices to us should be sent to [email protected].

18.8 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and ToasterSync.

18.9 Export Compliance

You agree to comply with all applicable export control laws and regulations. You may not use or export the Service in violation of U.S. export laws or regulations.

18.10 U.S. Government Users

If you are a U.S. government entity, use of the Service is subject to the terms of this agreement as permitted under applicable federal acquisition regulations.

19. Changes to These Terms

19.1 Our Right to Modify

We may modify these Terms at any time. When we make changes, we will:

  • Update the "Last Updated" date at the top of these Terms
  • Post the revised Terms on our website
  • For material changes, provide at least 30 days' notice via email or prominent notice on the Service

19.2 Your Acceptance

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.

19.3 Disputes Under Prior Terms

If a dispute arises between you and ToasterSync, the version of these Terms in effect at the time the dispute arose will govern.
